Red8 and 2ndGear is looking to hire a contracts, transactional and general corporate lawyer for our legal team, reporting to our President of Red8/2nd Gear and dotted line to our General Counsel. The role primarily would be to (1) review, prepare and negotiate value-added reseller agreements, equipment sales agreements, professional services agreements and other contractual agreements with our partners, (2) review internal procurement agreements and confidentiality agreements, and (3) assist in the management of the legal aspects of our intellectual property, including trademarks, service marks and copyrights. The position is full-time and is located in Boston, Massachusetts. The ideal candidate would have at least 5-7 years of law firm or in-house experience specializing in general corporate law, contracts or general business law with significant experience negotiating contracts. Responsibilities: - Review, drafting and negotiating a wide range of commercial agreements, including VAR agreements, license agreements, sales and purchase agreements, equipment financing agreements, and professional services agreements. - Provide legal assistance in the development, review and updating of the Company’s documentation procedures and template agreements - Assist in the management of the legal aspects of the Company’s trademarks and service marks - Exercise good commercial judgment to understand business needs and provide appropriate and responsive legal support with a high degree of attention to detail - Act as internal clients’ trusted colleague who coordinates strategy with respect to commercial contracting, compliance, contractual disputes, and best practices - Enhance and support the department’s technology solutions and knowledge management efforts
